End User License Agreement ("Agreement")

Please read this End-User License Agreement carefully before clicking the "I Agree" button, downloading or using Motion Input Web Portal Generator.

Interpretation and Definitions

  1. Interpretation: In this Agreement, unless the context otherwise requires:
    • "Agreement" means this End User License Agreement.
    • "Software" means the Web Portal Generator software product provided by Motion Input 3.4 .
    • "Licensor" means Motion Input 3.4.
    • "You" means the individual or entity agreeing to the terms of this Agreement.
  2. Definitions: For the purpose of this Agreement:
    • "Use" refers to installing, copying, or otherwise utilizing the Software.

End User License Agreement (EULA)

  1. Grant of License: Subject to the terms and conditions of this Agreement, Licensor hereby grants you a non-exclusive, non-transferable license to use the Software.
  2. Permitted Use: You may use the Software solely for your personal or internal business purposes.
  3. Restrictions: You may not:
    • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
    • Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software to any third party.
    • Remove or alter any proprietary notices or labels on the Software.
  4. Intellectual Property: You acknowledge that the Software and all intellectual property rights therein are and shall remain the property of Licensor.
  5. Support: Licensor may provide you with support services related to the Software ("Support"). Any such Support shall be provided in accordance with Licensor's standard Support policies and procedures.
  6. Warranty Disclaimer: THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
  7. Limitation of Liability: IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
  8. Termination: This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
  9. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, whether written or oral, regarding such subject matter.

By installing or using the Software, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
